TapNota Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of TapNota’s websites, applications, digital item pages, QR-powered services, physical label products, subscriptions, and related features collectively referred to as the “Service.”

Please read these Terms carefully. By creating a TapNota account, activating a label pack, purchasing a product or subscription, accessing an item page, or otherwise using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Authority

You must be legally capable of entering into a binding agreement to use the Service.

If you use TapNota on behalf of a company, organization, team, or other entity, you represent that you have authority to accept these Terms on that entity’s behalf. In that situation, “you” includes both you and the entity you represent.

TapNota is not intended for children under 13. Users under the age of legal majority in their jurisdiction may use the Service only with the involvement and permission of a parent or legal guardian.

2. Description of the Service

TapNota connects physical objects to digital item records through unique TapNota identifiers, including QR codes, TapNota URLs, and other supported identification technologies.

Depending on the available features and your account or plan, the Service may allow you to:

  • Activate and manage TapNota labels

  • Create digital records for physical items

  • Add item names, descriptions, notes, and dated history

  • Upload photographs and other supported content

  • Organize items into folders

  • Search item records

  • select private, shared, or public visibility settings

  • Create or revoke sharing links

  • Apply optional PIN protection

  • Download, print, or reprint QR labels

  • Manage multiple label packs through one account

  • Access additional capacity or services through a paid plan

TapNota may offer physical QR label products, access to the digital platform, and related services. Features, limits, interfaces, and availability may change as the Service develops.

TapNota is an inventory, asset-tracking, and item-documentation platform designed for personal, business, and organizational use. Unless expressly stated otherwise, TapNota is not certified for specialized regulatory, medical, emergency-response, aviation, or safety-critical compliance requirements.

3. Accounts and Account Security

Some TapNota features require an account.

You agree to provide accurate and current information and to maintain the security of your email account, login links, passwords, PINs, devices, and other credentials used to access TapNota.

You are responsible for activity performed through your account unless caused directly by TapNota’s failure to use reasonable security measures.

You must promptly contact TapNota if you believe:

  • Your account has been accessed without authorization

  • A login link or credential has been compromised

  • A label pack has been activated by the wrong person

  • An item record or sharing link is being misused

TapNota may require reasonable verification before changing account ownership, restoring access, transferring records, or assisting with an ownership dispute.

4. Label-Pack Activation and Control

TapNota label packs may contain multiple unique labels associated with a pack or activation code.

When supported, scanning and successfully claiming one label may activate the entire associated pack to the user’s TapNota account. After activation, the labels in that pack may become available through that account.

The account that successfully completes the initial activation is generally treated as the controlling account for that label pack unless:

  • TapNota determines that the activation resulted from an error or unauthorized use

  • A transfer is completed through a supported TapNota process

  • TapNota receives sufficient documentation supporting a correction

  • Applicable law requires a different result

Possession of a physical label, photograph of a QR code, public item link, or shared item link does not necessarily establish legal ownership of the physical item or the associated TapNota account.

TapNota does not independently determine ownership of physical property. Account records and activation history are organizational records only and are not certificates of title, proof of legal ownership, or legal transfer documents.

5. QR Codes, Labels, and TapNota Identifiers

Each TapNota label or item record may be associated with a unique identifier and URL.

You may use TapNota labels only in connection with lawful activities and items you own, manage, service, document, or are otherwise authorized to label.

You may not knowingly:

  • Duplicate TapNota identifiers for fraudulent or deceptive purposes

  • Sell or distribute unauthorized copies of active TapNota labels

  • Use another customer’s identifiers without permission

  • Alter a QR code to impersonate TapNota or another user

  • Redirect TapNota users to malicious, deceptive, or unlawful content

  • Circumvent activation, account, usage, or active-tag limits

  • Attempt to claim label packs that do not belong to you

Downloaded or reprinted QR codes must remain sufficiently clear and accurate to direct users to the intended TapNota record. TapNota is not responsible for printing defects, resizing problems, damaged labels, incorrect placement, environmental exposure, or third-party printing errors.

6. Physical Label Products

TapNota may sell physical QR labels, inserts, packaging, or related products directly or through third-party marketplaces and retailers.

Actual appearance, materials, dimensions, packaging, and print characteristics may vary slightly from product images or descriptions.

You are responsible for determining whether a label is appropriate for the intended surface, environment, temperature, exposure, or use.

Unless TapNota expressly states otherwise, TapNota does not guarantee that physical labels are:

  • Waterproof

  • Weatherproof

  • Fireproof

  • Tamper-proof

  • Chemical-resistant

  • Permanent on every surface

  • Suitable for safety-critical, medical, aviation, or industrial compliance uses

Do not place labels where they could obstruct safety warnings, controls, vents, sensors, vehicle visibility, legally required markings, or the safe operation of equipment.

Purchases made through Amazon or another third-party marketplace may also be subject to that marketplace’s purchasing, shipping, return, and refund policies.

7. Active Tags and Plan Limits

TapNota plans may include limits on the number of active tags, storage, users, accounts, locations, features, or other resources.

Your applicable limits are those displayed when you subscribe, activate a plan, or access your account.

TapNota may provide notices or temporary continued access when an account exceeds a stated limit. Allowing temporary excess usage does not permanently increase your plan limit or waive TapNota’s right to enforce the limit later.

If your account exceeds its plan limits, TapNota may:

  • Display an account notice

  • Ask you to deactivate tags

  • Ask you to purchase additional capacity

  • Require an account upgrade

  • Limit further activations or uploads

  • Restrict certain account actions until the overage is resolved

TapNota will make reasonable efforts to avoid unnecessarily deleting customer content solely because of a temporary plan overage. However, continued storage, access, and service are subject to these Terms, the applicable plan, and TapNota’s data-retention practices.

8. Free and Paid Plans

TapNota may offer free and paid plans.

Core features may be made available across multiple plans, while plans may primarily differ based on active-tag capacity, storage, usage levels, support, or other stated limits.

The inclusion of a feature in a free plan does not guarantee that the feature will remain free or available indefinitely. TapNota may introduce, modify, discontinue, or reorganize features and plans as described in these Terms.

Some accounts may receive promotional, custom, legacy, complimentary, or grandfathered access. Such access:

  • Is specific to the applicable account

  • May not be transferable

  • Does not require TapNota to provide the same access to other users

  • May be changed where reasonably necessary to operate or protect the Service

9. Subscriptions, Billing, and Cancellation

Paid subscriptions are billed according to the price, billing period, and terms shown at checkout or when the subscription is selected.

By starting a recurring subscription, you authorize TapNota or its payment processor to charge the applicable payment method at each renewal until the subscription is canceled.

Unless otherwise stated:

  • Monthly subscriptions renew each month

  • Annual subscriptions renew each year

  • Applicable taxes may be added

  • Subscription charges are billed in advance

  • Failure to use the Service does not automatically cancel a subscription

You may cancel a subscription through the available account or billing controls or by contacting TapNota when account cancellation controls are unavailable.

Cancellation stops future renewals but does not ordinarily create a refund for a billing period that has already started, except where required by law or expressly stated by TapNota.

After cancellation, paid access may continue until the end of the current paid billing period. Your account may then be changed to an available free plan or limited according to the free plan’s capacity.

You are responsible for reducing active tags or usage to fit the applicable plan after cancellation or downgrade.

10. Prices, Plan Changes, and Taxes

TapNota may change prices, plan limits, or included services.

Price changes for recurring subscriptions will apply as disclosed by TapNota and subject to applicable law. Where required, TapNota will provide advance notice before a new subscription price takes effect.

You are responsible for applicable sales, use, value-added, or similar taxes, except taxes based on TapNota’s income.

Promotional pricing, coupons, trials, discounts, or special offers may have additional conditions and may expire or be limited to eligible users.

11. Refunds

Except where required by law or expressly stated in a specific offer, subscription payments are nonrefundable.

TapNota may issue a refund, credit, or other accommodation at its discretion. Providing an accommodation in one situation does not require TapNota to provide the same accommodation in another situation.

Refunds and returns for physical products purchased through a third-party marketplace are generally handled under that marketplace’s applicable policies.

12. Item Visibility and Sharing

TapNota may provide different visibility and sharing options.

Private

Private item records are intended to be accessible only through authorized account access or other required authentication.

Shared

A shared link may allow another person to view selected item information without giving that person full access to your account.

Depending on the available features and settings, a shared link may be revoked or replaced by the controlling account.

Anyone who receives or obtains a valid shared link may be able to view the information made available through that link. You are responsible for deciding what information to include and who receives the link.

Public

Public item records may be accessible to anyone who scans the label, receives the URL, or otherwise discovers the page.

Public content may be copied, photographed, recorded, shared, indexed, cached, or retained by third parties.

Changing an item from public to private does not guarantee that previously accessed or copied information will be removed from third-party systems.

You are responsible for reviewing an item’s visibility settings before adding sensitive information or sharing its URL.

13. PIN Protection

TapNota may offer optional PIN protection for eligible accounts or items.

PIN protection is an additional access-control feature, but it does not guarantee absolute security.

You are responsible for:

  • Choosing a reasonably secure PIN

  • Keeping the PIN confidential

  • Sharing it only with intended users

  • Changing it if you believe it has been compromised

TapNota is not responsible for access resulting from a PIN that you shared, reused, exposed, or failed to protect.

TapNota may provide account recovery or PIN-reset options but may require verification before doing so.

14. Search-Engine Indexing and Third-Party Caching

Public item pages may be eligible for indexing by search engines and discovery by other third-party services.

TapNota may use technical measures such as noindex directives for certain nonpublic pages. However, TapNota cannot guarantee how every search engine, archiving service, social platform, browser, scanner, or third-party service will treat a page.

Third parties may cache, store, screenshot, archive, or redistribute information after accessing it.

You should not place confidential, legally protected, highly sensitive, or security-critical information on a public item page.

15. User Content

“User Content” means information you submit, upload, enter, display, or store through the Service, including:

  • Item names and descriptions

  • Notes

  • Photographs

  • Item history

  • Folder names

  • Ownership or maintenance information

  • Uploaded files

  • Public or shared-page content

You retain your rights in your User Content.

You grant TapNota a nonexclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, resize, format, and otherwise use your User Content only as reasonably necessary to:

  • Provide and operate the Service

  • Display content according to your settings

  • Maintain backups and service functionality

  • Prevent fraud, abuse, or security threats

  • Provide customer support

  • Comply with legal obligations

This license ends when the content is deleted from TapNota’s active systems, subject to reasonable backup, archival, security, and legal-retention periods.

You represent that you have the rights and permissions needed to upload and use your User Content.

16. Prohibited and Sensitive Content

You may not use TapNota to upload, store, publish, or distribute content that:

  • Violates applicable law

  • Infringes intellectual-property, privacy, publicity, or other rights

  • Is fraudulent, deceptive, defamatory, threatening, or harassing

  • Promotes violence or unlawful activity

  • Contains malware, malicious code, or harmful links

  • Exploits or endangers a child

  • Reveals another person’s private information without authorization

  • Interferes with TapNota’s systems or other users

  • Is intended to facilitate theft, stalking, unauthorized surveillance, or access to property

TapNota is not designed to store highly sensitive information such as:

  • Social Security numbers

  • Complete payment-card information

  • Account passwords

  • Private encryption keys

  • Medical records requiring regulated handling

  • Information whose disclosure could create an immediate safety or security risk

You are responsible for deciding whether TapNota is appropriate for the information you enter.

17. Acceptable Use

You agree not to:

  • Probe, scan, or test the vulnerability of the Service without permission

  • Bypass security, capacity, billing, or access controls

  • Reverse engineer the Service except where applicable law expressly permits it

  • Use automated systems to scrape or extract data without authorization

  • Overload, disrupt, or impair the Service

  • Introduce viruses, malware, or harmful code

  • Impersonate another person or organization

  • Use TapNota branding in a misleading manner

  • Resell account access without written authorization

  • Use the Service in a way that harms TapNota, its users, or third parties

TapNota may investigate suspected misuse and take reasonable action to protect the Service.

18. Intellectual Property

The Service, excluding User Content, is owned by TapNota LLC or its licensors and is protected by intellectual-property laws.

This includes TapNota’s:

  • Name and logos

  • Website and portal design

  • Software and source code

  • Product designs

  • Documentation

  • Graphics and written content

  • Databases and system architecture

  • Proprietary activation and label-management processes

These Terms grant you a limited, nonexclusive, nontransferable, revocable right to use the Service for its intended purpose.

No ownership rights in TapNota intellectual property are transferred to you.

You may not copy, modify, distribute, sell, license, or create derivative products from TapNota’s protected materials except with written permission or as expressly allowed by the Service.

19. Feedback

If you provide ideas, suggestions, feature requests, or other feedback, you grant TapNota permission to use that feedback without restriction or compensation.

This does not grant TapNota ownership of your separate User Content or confidential business information.

Do not submit confidential ideas unless TapNota has agreed in writing to receive them confidentially.

20. Third-Party Services

TapNota may interact with or link to services operated by third parties, including:

  • Payment processors

  • Hosting providers

  • Email-delivery providers

  • Online marketplaces

  • QR-scanning applications

  • Web browsers

  • Search engines

  • Analytics or support providers

TapNota does not control third-party services and is not responsible for their availability, security, content, policies, or actions.

Your use of a third-party service may be governed by separate terms and privacy policies.

21. Lost, Stolen, Transferred, or Discarded Items

TapNota does not track the physical location of an item unless an expressly identified feature states otherwise.

TapNota does not guarantee that a lost or stolen item will be found, returned, identified, or recovered.

Before selling, transferring, donating, or discarding an item with a TapNota label, you should:

  • Remove the label

  • Delete or archive the associated record

  • Remove personal information

  • Change the visibility setting

  • Complete any available transfer process

You are responsible for preventing unintended access to information associated with items that leave your possession.

TapNota is not responsible for loss resulting from an item, tag, QR code, photograph, URL, sharing link, login credential, or PIN being lost, stolen, copied, transferred, or disclosed.

22. Data Storage, Retention, and Backups

TapNota uses reasonable measures to operate and maintain the Service, but no online service can guarantee permanent or error-free storage.

You are responsible for keeping independent copies of information that is especially important to you.

TapNota may establish storage, retention, or inactivity limits. Where reasonably practical, TapNota may provide notice before deleting substantial account data due solely to inactivity, plan limits, or service discontinuation.

Data may remain temporarily in backups, logs, fraud-prevention systems, or legally required records after deletion from active systems.

Use of personal information is also governed by the TapNota Privacy Policy.

23. Service Availability and Changes

TapNota may update, maintain, modify, suspend, or discontinue portions of the Service.

The Service may occasionally be unavailable because of:

  • Maintenance

  • Software updates

  • Hosting interruptions

  • Internet or telecommunications failures

  • Security incidents

  • Events outside TapNota’s reasonable control

TapNota does not guarantee uninterrupted availability, a specific response time, permanent compatibility with every device, or that every feature will always remain available.

Where reasonably practical, TapNota will attempt to communicate material service changes that substantially affect paid users.

24. Account Suspension and Termination

You may stop using TapNota at any time. You may also request account closure through available account controls or by contacting TapNota.

TapNota may restrict, suspend, or terminate access when reasonably necessary because of:

  • A violation of these Terms

  • Fraud or suspected fraud

  • Unauthorized access or security concerns

  • Nonpayment

  • Illegal or harmful activity

  • Abuse of the Service

  • Risk to TapNota, another user, or a third party

  • A legal or regulatory requirement

When appropriate, TapNota may provide notice and an opportunity to resolve the issue. Immediate action may be taken when needed to address security, fraud, legal, or safety risks.

Termination does not eliminate payment obligations or liabilities that arose before termination.

Sections that by their nature should survive termination will remain in effect, including provisions concerning ownership, payment obligations, disclaimers, liability, indemnification, and disputes.

25. Disclaimer of Warranties

To the fullest extent permitted by law, the Service and physical products are provided on an “as is” and “as available” basis.

TapNota disclaims all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

TapNota does not warrant that:

  • The Service will always be available

  • The Service will be error-free or completely secure

  • Data will never be lost

  • Every label will scan under every condition

  • Information entered by users will be accurate

  • Use of TapNota will prevent theft, damage, loss, or unauthorized access

  • TapNota will satisfy industry-specific regulatory requirements

  • A lost item will be identified or returned

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

26. Limitation of Liability

To the fullest extent permitted by law, TapNota LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages.

This includes damages arising from:

  • Lost data or content

  • Lost profits or revenue

  • Business interruption

  • Loss, theft, or damage to physical property

  • Unauthorized access

  • Misused or duplicated labels

  • Shared, leaked, or indexed information

  • Reliance on user-entered information

  • Third-party products or services

  • Inability to access or use the Service

To the fullest extent permitted by law, TapNota’s total liability arising out of or relating to the Service will not exceed the greater of:

  1. The amount you paid directly to TapNota for the Service during the 12 months before the event giving rise to the claim; or

  2. One hundred U.S. dollars.

These limitations apply regardless of the legal theory asserted and even if TapNota has been advised that damages were possible.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

27. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TapNota LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from:

  • Your misuse of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of applicable law

  • Your infringement of another person’s rights

  • Your labeling, documentation, transfer, sale, or management of physical items

  • Your unauthorized deployment or distribution of TapNota identifiers

This obligation does not apply to the extent a claim was caused by TapNota’s own unlawful conduct.

28. Copyright Complaints

TapNota respects intellectual-property rights.

If you believe content available through TapNota infringes your copyright, contact TapNota and provide:

  • Identification of the copyrighted work

  • Identification of the allegedly infringing content

  • The location of the content

  • Your contact information

  • A statement that you have a good-faith belief the use is unauthorized

  • A statement that the information provided is accurate

  • Your physical or electronic signature

TapNota may remove or restrict access to content while reviewing a complaint.

29. Electronic Communications

By using TapNota, you consent to receive account-related communications electronically, including:

  • Login and verification emails

  • Activation confirmations

  • Billing and renewal notices

  • Security alerts

  • Service announcements

  • Support communications

  • Changes to these Terms or related policies

You are responsible for maintaining a valid email address and reviewing communications sent to it.

Marketing communications, where offered, may be subject to separate consent and unsubscribe options.

30. Changes to These Terms

TapNota may revise these Terms to reflect changes in the Service, pricing, business practices, technology, security requirements, or applicable law.

The revised Terms will be posted with an updated effective date.

Where reasonably required or appropriate, TapNota may also provide notice by email, account notification, or another reasonable method.

Your continued use of the Service after the revised Terms take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel any subscription.

Changes will not retroactively eliminate rights that cannot legally be waived.

31. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law or another jurisdiction’s mandatory consumer-protection law applies.

Any dispute will be brought in a court with lawful jurisdiction over the dispute and the parties.

Nothing in these Terms prevents either party from seeking appropriate relief in small-claims court when eligible.

32. General Provisions

Entire Agreement

These Terms, the TapNota Privacy Policy, applicable plan terms, and any additional terms presented for a specific product or service constitute the entire agreement between you and TapNota regarding the Service.

Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be enforced to the greatest extent legally permitted.

No Waiver

TapNota’s failure to enforce a provision does not waive its right to enforce that provision later.

Assignment

You may not assign or transfer these Terms or your account without TapNota’s written permission.

TapNota may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service.

No Partnership

These Terms do not create an employment, agency, partnership, joint venture, or franchise relationship between you and TapNota.

Force Majeure

TapNota is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, labor disruptions, utility failures, internet outages, cyberattacks, supplier interruptions, or hosting-provider failures.

Section headings are provided for convenience and do not limit the meaning of these Terms.
